Terms of Use
To access or use the CopayConnect® document uploader portal or www.lillycardactivation.com, individual user, (hereinafter collectively referred to as “User” or “You”) agree to the following portal terms of use (the “Agreement”):
Security
You agree that EVERSANA LLC (“EVERSANA”) cannot and will not be liable for any losses and/or damages arising from your use of the CopayConnect® portal, www.lillycardactivation.com, or your failure to comply with the provisions of this Agreement. Except where expressly authorized by law, by accessing the CopayConnect® portal or www.lillycardactivation.com, you are certifying that you are not using another person’s information to access or utilize the CopayConnect® portal or www.lillycardactivation.com. You agree not to falsely state or otherwise misrepresent your affiliation with a person or entity to obtain access or utilization of the CopayConnect® portal or www.lillycardactivation.com. You also agree not to copy or disseminate, electronically or otherwise, personal or confidential information found on the CopayConnect® portal or www.lillycardactivation.com. You agree to provide EVERSANA with accurate, current and complete information when using the CopayConnect® portal and www.lillycardactivation.com and to maintain and promptly update your information to keep it accurate, current and complete.
Termination of Login Account
EVERSANA reserves the right, in its sole discretion at any time upon notice, to terminate access or functionality to the CopayConnect® portal at any time for any reason.
No Unlawful or Prohibited Use
You are prohibited from using the CopayConnect® portal or www.lillycardactivation.com to damage, disable, or overburden EVERSANA’s servers or network or impair the portal or interfere with any other party’s use of the CopayConnect® portal or www.lillycardactivation.com. Hacking, password miming, or any other means to gain unauthorized access to the CopayConnect® portal or www.lillycardactivation.com, computer or network is prohibited. Posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law is also prohibited. EVERSANA will fully cooperate with any law enforcement authorities or court order requesting or directing EVERSANA to disclose the identity of any such information and/or materials.
Trademarks
The trademarks, logos, trade names, and service marks (“Marks”) displayed on CopayConnect® portal are the property of EVERSANA or other third parties. You are not permitted to use these Marks without the prior written consent of EVERSANA or such third party which may own the Mark.
Copyrights
EVERSANA either owns the copyright and related intellectual property rights in CopayConnect® portal or has obtained the permission of the owner of the copyrights and related intellectual property rights to make it available to you for the purposes described in these terms of use. You may not reproduce, modify, sell, distribute, or create derivative works unless you have been specifically authorized to do so by EVERSANA or, with regard to any third-party content, by the third-party owners. EVERSANA and its affiliates respect the intellectual property of others.
Confidentiality
CopayConnect® portal and www.lillycardactivation.com may contain information that is designated as “confidential,” and you agree not to disclose such information without EVERSANA’s prior written consent.
Monitoring
EVERSANA has the right, but not the obligation, to monitor the CopayConnect® portal and www.lillycardactivation.com to determine compliance with this Agreement.
Your use of the CopayConnect® portal and www.lillycardactivation.com is at your sole risk. The CopayConnect® portal and www.lillycardactivation.com is provided on an “AS IS” and “AS AVAILABLE” basis. EVERSANA expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You expressly understand and agree that EVERSANA will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages for any reason resulting from your use of the CopayConnect® portal or www.lillycardactivation.com.
Indemnification
You agree to indemnify and hold harmless EVERSANA, or other third parties, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, due to or arising out of your use of the CopayConnect® portal and www.lillycardactivation.com, your violation of these terms and conditions, your communication of inaccurate or incomplete information, and/or your violation of law.
Service Availability
The CopayConnect® portal and www.lillycardactivation.com will generally be available 24 hours per day, but may be unavailable due to regularly scheduled maintenance, service upgrades, etc.
Amendments
EVERSANA may amend or add to this Agreement at any time.
